Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Menestyc LLC, operating as Rovela ("Rovela," "we," "us," or "our"), a company registered in the United Arab Emirates with its principal office at Shams Freezone, Sharjah, UAE.

By accessing or using our Platform at rovela.ai, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use our services.

2. Definitions

  • Platform: The Rovela web application at rovela.ai, including all features, APIs, and related services.
  • Store: An e-commerce website generated, deployed, and hosted through the Platform on your behalf.
  • Credits: Prepaid, non-refundable units consumed when using Platform features such as store generation and chat-based editing.
  • AI Output: Any code, content, designs, configurations, or other materials generated by artificial intelligence through the Platform.
  • Customer Data: All content, data, and materials you input into the Platform, including business descriptions, prompts, uploaded images, product information, and store configurations.
  • SDK: Rovela's proprietary software development kit embedded in generated Stores, providing core e-commerce functionality.
  • Subscription: A recurring paid plan that grants access to Platform features, Credits, and Store capacity.
  • Store Customers: End users who visit, browse, or make purchases on your generated Store.

3. Description of Service

Rovela is an AI-powered platform that enables users to create fully functional e-commerce Stores by describing their business ideas in natural language. Our service includes:

  • AI-powered store generation from text prompts
  • Automated questionnaire and blueprint creation
  • Visual design and brand identity generation
  • Chat-based store editing and customization
  • Deployment to production hosting environments
  • Integrated payment processing via Stripe Connect
  • Product management and administrative dashboards
  • Per-store isolated database provisioning

4. Eligibility & User Accounts

To use the Platform, you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction.
  • Provide accurate, current, and complete registration information.
  • Maintain the confidentiality and security of your account credentials.
  • Promptly notify us of any unauthorized access to or use of your account.

You are solely responsible for all activities that occur under your account. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

5. Subscription Plans & Billing

Rovela offers the following plans:

  • Free Trial (14 days): All new accounts include a 14-day free trial with 10 Credits and 1 Store. A valid payment method is required to start the trial. After the trial period, your selected plan is activated and charged automatically unless cancelled.
  • Pro ($29/month): 100 Credits per month, up to 5 Stores. Credit top-ups available.
  • Business ($99/month): 300 Credits per month, unlimited Stores. Credit top-ups available.

By subscribing to a paid plan, you agree to the following:

  • Automatic Renewal: Subscriptions renew automatically at the end of each billing cycle. You will be charged the applicable fee unless you cancel before the renewal date.
  • Payment Processing: All payments are processed securely through Stripe. You authorize us to charge your designated payment method for all applicable fees.
  • Cancellation: You may cancel your subscription at any time through the Account settings or Stripe Customer Portal. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial billing periods.
  • Plan Changes: Upgrades take effect immediately with a prorated charge. Downgrades take effect at the next billing cycle.
  • Price Changes: We reserve the right to change subscription pricing with at least 30 days' advance notice. Continued use after a price change constitutes acceptance.

6. Credits

  • Consumption: Store generation costs 5 Credits. Each chat message during store editing costs 1 Credit.
  • Non-Refundable: Credits are non-refundable, non-transferable, and have no cash value. Credits cannot be exchanged, sold, or redeemed for currency.
  • Carry-Over: Unused Credits carry over between billing cycles and are never reset. Your balance accumulates over time.
  • Top-Ups: Users on paid plans may purchase additional Credits ($10 for 50 Credits). Top-ups are one-time, non-refundable purchases.
  • Cancellation: Upon subscription cancellation, your remaining Credit balance is retained and usable until depleted. Credits are not removed upon cancellation or downgrade.
  • Termination for Breach: If your account is terminated due to a violation of these Terms, any remaining Credits are forfeited.
  • Insufficient Credits: If your Credit balance is insufficient for an operation, the operation will be declined. You must purchase additional Credits or upgrade your plan to continue.

7. Store Limits

Each plan has a maximum number of active Stores. The Starter plan allows 1 Store, Pro allows up to 5 Stores, and Business allows unlimited Stores. Store limits are enforced at the time of store creation. If you reach your limit, you must upgrade your plan or delete existing Stores before creating new ones.

8. Acceptable Use

You agree not to use the Platform or any generated Store to:

  • Violate any applicable local, national, or international law or regulation.
  • Sell prohibited, illegal, counterfeit, or regulated products without proper authorization.
  • Engage in fraudulent, deceptive, or misleading business practices.
  • Infringe upon the intellectual property rights of any third party.
  • Distribute malware, viruses, or any harmful or destructive code.
  • Attempt to gain unauthorized access to the Platform, other user accounts, or our systems.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform or SDK.
  • Resell, sublicense, or redistribute access to the Platform or its features.
  • Share account credentials with third parties or operate multiple accounts to circumvent limits.
  • Use the Platform to generate content that is hateful, violent, sexually explicit, or that promotes discrimination.
  • Overload, disrupt, or interfere with the proper functioning of the Platform or its infrastructure.
  • Use automated tools, bots, or scripts to interact with the Platform without our prior written consent.

We reserve the right to investigate and take appropriate action against any violations, including account suspension, termination, and reporting to law enforcement authorities.

9. AI Output Disclaimer

The Platform uses artificial intelligence to generate code, content, and designs for your Store. You acknowledge and agree that:

  • AI Output may contain errors, inaccuracies, bugs, or other issues and should not be relied upon without review and testing.
  • AI Output is not guaranteed to be unique, original, or free from third-party intellectual property claims.
  • AI Output is not guaranteed to be suitable for any particular purpose, including production use, without your own verification.
  • Similar or identical prompts from different users may produce similar or identical AI Output.
  • You assume full responsibility for reviewing, testing, and validating all AI Output before deploying it to production or making it available to your Store Customers.
  • We are not responsible for any damages, losses, or liabilities arising from your reliance on AI Output without adequate review.

10. Intellectual Property

Our Intellectual Property:

  • The Platform, SDK, store templates, branding, documentation, and all underlying technology are and remain the exclusive property of Rovela and its licensors.
  • You may not copy, modify, distribute, sell, or create derivative works based on our proprietary materials outside of the rights expressly granted in these Terms.
  • The Rovela name, logo, and all related trademarks are our property. You may not use them without prior written consent.

Your Intellectual Property:

  • You retain ownership of your Customer Data, including business descriptions, uploaded images, product listings, and store content you create.
  • You own the customizations, configurations, and content generated specifically for your Store through AI Output.
  • The SDK and template code embedded in your Store remain Rovela's property, licensed to you for the purpose of operating your Store.

By using the Platform, you grant Rovela a worldwide, non-exclusive, royalty-free license to host, display, and process your Customer Data solely as necessary to provide the services described in these Terms. This license terminates when you delete your data or account, except as required for backup retention.

11. Stripe Connect & Payment Processing

Generated Stores use Stripe Connect for payment processing. By connecting a Stripe account to your Store, you acknowledge and agree to the following:

  • Merchant of Record: You are the merchant of record for all transactions in your Store. You are responsible for the sale, fulfillment, returns, refunds, and customer service for all products sold through your Store.
  • Platform Fee: Rovela charges a 5% application fee on each successful transaction processed through your Store, in addition to Stripe's standard processing fees.
  • Stripe Agreement: You must accept and comply with Stripe's Connected Account Agreement and all applicable Stripe policies.
  • Tax Compliance: You are solely responsible for determining, collecting, reporting, and remitting all applicable taxes related to transactions in your Store.
  • Chargebacks & Disputes: You are responsible for managing and resolving all payment disputes, chargebacks, and fraud claims from your Store Customers.
  • Account Verification: Stripe may require identity verification and business documentation. Failure to complete verification may result in restricted or suspended payment processing.

12. Service Dependencies

The Platform relies on third-party infrastructure and service providers to deliver its functionality. These include but are not limited to:

  • Anthropic — AI models for code generation and content creation.
  • Blaxel — Sandbox environments for AI code execution.
  • Vercel — Hosting and deployment of generated Stores.
  • Neon — Serverless database provisioning for per-store data isolation.
  • GitHub — Source code repository storage.
  • Stripe — Payment processing for platform billing and store transactions.
  • Resend — Transactional email delivery.

We do not guarantee uninterrupted availability or performance of any third-party service. Outages, degradations, or changes to third-party services may affect Platform functionality. We are not liable for any losses or damages arising from third-party service disruptions.

13. Data Handling & Prohibited Data

Your prompts and Customer Data are processed by AI systems to generate your Store. By using the Platform, you grant us the right to transmit your inputs to our AI providers for processing.

You must not input or store the following types of data on the Platform or in your generated Store:

  • Protected health information (PHI) subject to HIPAA or equivalent regulations.
  • Full financial account numbers, credit card numbers, or banking credentials.
  • Government-issued identification numbers (social security numbers, passport numbers, national IDs).
  • Biometric data (fingerprints, facial recognition data, retinal scans).
  • Data subject to specific regulatory frameworks that require specialized handling not provided by the Platform.

We do not use your raw Personal Data to train AI models. Anonymized and aggregated data may be used to improve Platform services and prompt engineering.

14. Account Suspension & Termination

By Us:

  • We may immediately suspend or terminate your account if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or used the Platform for unlawful purposes.
  • We may suspend accounts for non-payment or failed payment methods after reasonable notice.
  • Upon termination for breach, all remaining Credits are forfeited and no refund is provided.
  • Upon termination without breach, any remaining Credits will be applied toward outstanding fees.

By You:

  • You may delete your account at any time through your Account settings.
  • Account deletion will permanently remove your account data, project configurations, and associated store metadata from our Platform database.
  • Deployed Stores on Vercel and GitHub repositories are not automatically deleted upon account deletion. You are responsible for removing these separately if desired.
  • Deletion is irreversible. We recommend exporting any data you wish to retain before deleting your account.

15. Disclaimers

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Without limiting the foregoing, Rovela does not warrant that:

  • The Platform will be uninterrupted, timely, secure, or error-free.
  • AI Output will be accurate, complete, reliable, or free from defects.
  • Any Store generated through the Platform will be profitable, successful, or suitable for your business objectives.
  • The Platform will meet your specific requirements or expectations.
  • Any errors or defects in the Platform will be corrected.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROVELA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, business opportunities, or goodwill.
  • Cost of procurement of substitute goods or services.
  • Business interruption or downtime.
  • Any damages arising from AI Output, including errors in generated code or content.
  • Third-party service outages or failures.
  • Unauthorized access to or alteration of your data.

IN NO EVENT SHALL ROVELA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO ROVELA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

17. Indemnification

You agree to indemnify, defend, and hold harmless Rovela and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; (d) products or services sold through your Store; (e) any disputes with your Store Customers; or (f) your violation of any applicable law or regulation.

18. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.

Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms shall be finally resolved by binding arbitration administered in accordance with the rules of the Sharjah International Commercial Arbitration Centre (Tahkeem). The arbitration shall be conducted in English in Sharjah, UAE. The arbitrator's decision shall be final and binding.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in class actions or class-wide arbitration.

Exceptions: Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

19. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Rovela regarding the Platform and supersede all prior agreements, understandings, and communications.
  • Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
  • No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may freely assign these Terms without restriction.
  • Force Majeure: We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to natural disasters, wars, pandemics, government actions, power failures, internet disruptions, or third-party service outages.
  • Notices: We may provide notices to you via email to the address associated with your account or through in-Platform notifications. Notices are deemed received when sent.
  • Beta Features: We may offer beta or experimental features that are provided "as is" without warranty. Beta features may be modified or discontinued at any time without notice.

20. Changes to These Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' advance notice via email or a prominent notice on the Platform. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform and delete your account.
